1.Acceptance of Terms

Welcome to Arena Sports (“Platform”), operated by Arena Sports Network LLC, located at 134 South Main Street, Suite 100, Alpine, Utah 84004. By accessing or using our Platform — including our website (arenasports.space), progressive web application, mobile applications (iOS and Android), APIs, webhooks, OAuth integrations, service workers, checkout flows, messaging tools, and any related services — you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

Arena Sports serves users, creators, organizations, and activities across the United States. State and local laws may vary, including laws governing youth sports, waivers, releases, consumer protection, refunds, taxes, privacy, concussion protocols, supervision, background checks, insurance, permits, and mandatory reporting. These Terms apply nationwide to the fullest extent permitted by law and do not limit any non-waivable right you may have under the law that applies to your location or the location of an activity.

If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Arena Sports Network. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Platform after changes become effective constitutes acceptance.

2.Eligibility

a

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account on the Platform.

b

Parents and legal guardians may create accounts and manage profiles on behalf of their minor children (“Dependent Profiles”). You represent that you have legal authority to act on behalf of any minor for whom you create a profile.

c

By creating an account, you represent and warrant that all information you provide is accurate, current, and complete, and that you have the legal authority to agree to these Terms.

d

Creator accounts are subject to additional review and verification requirements, including identity verification via Stripe Connect and any background, credential, insurance, or safety review that Arena Sports chooses to require. Review or verification does not guarantee a creator’s safety, skill, legality, insurance, credentials, or suitability.

e

We reserve the right to refuse service, terminate accounts, or restrict access to anyone at our sole discretion.

3.Account Types and Roles

The Platform supports the following account types:

a

Member Accounts — May register participants (including minor dependents) for camps, training sessions, and events; purchase digital courses; manage participant medical and consent profiles; communicate with creators; leave reviews; and submit data requests.

b

Creator Accounts — May create and manage camps, training programs, events, private lessons, and digital courses; set pricing and availability; receive payments via Stripe Connect; communicate with members; manage rosters and attendance; import and manage contacts; access analytics; and configure event settings including waivers, age groups, and capacity.

c

Organization Accounts — Organizations may register as entities, invite multiple creators, manage shared Stripe Connect accounts, assign role-based permissions (Admin, Creator, Manager), and publish programs under a unified brand.

d

Users may hold both Creator and Member roles simultaneously. An auto-created personal organization is assigned to each creator upon signup for billing and event management purposes.

e

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4.Platform Services

Arena Sports provides a technology marketplace connecting athletes, parents, members, creators, coaches, trainers, clubs, and organizations. Arena Sports does not itself provide coaching, instruction, childcare, transportation, facility operations, medical services, or athletic supervision. Platform tools include:

Event & Camp Management — Creation, publication, registration, multi-session scheduling, capacity management, per-session and flat-rate pricing, age and grade eligibility configuration, waitlist management, and QR-code-based check-in.

b

Training Programs — Single-session and recurring (multi-week) training programs with configurable days, times, drop-in and full-program pricing, monthly subscription billing, attendance tracking, and session notes.

c

Private Lessons — Creators set availability by day and time, define rates for individual, group, and team sessions, and members book directly through the Platform.

d

Digital Courses — Online video, document, and resource-based training content offered by creators. Course availability, content quality, completion outcomes, and participant results are the responsibility of the creator.

e

Messaging — Real-time direct, group, event, and broadcast messaging with text, file, image, video, GIF, poll, and related attachment features, subject to moderation and rate limits.

Reviews and Ratings — A review system covering events, training, courses, creators, and organizations, with 1–5 star ratings, text reviews, photo uploads, helpfulness voting, creator responses, and automated review prompts.

Athlete and Profile Tools — Athlete profiles, goals, highlights, teams, training preferences, public profiles, development notes, media galleries, and optional information that users choose to provide.

Profiles & Dependent Management — Primary user profiles and secondary dependent profiles (for minor athletes) including personal information, athletic data (height, weight, positions, dominant hand/foot), education data, social media links, and emergency contacts.

Presidential Fitness Test Tools — For events where the host enables Presidential Fitness Test administration before registrations begin, Arena may allow authorized creators, organization admins, and event managers to record test information for registered participants, including scoring group, age group, test results, completion status, award status, recorder, event context, and notes. Fitness test results may be used for event operations, participant profile history, reporting, program improvement, and aggregated or de-identified partner reporting unless a separate permission or applicable agreement allows identifiable sharing.

Wallet & Financial Dashboard — Creator earnings dashboard, payout tracking, transaction history, and Stripe Connect account management including bank account and identity verification.

Insurance Tracking — Creators may store and display insurance coverage information (provider, policy number, coverage type, expiration). Arena Sports does not verify, validate, or guarantee the accuracy of any insurance information displayed on the Platform.

Email Broadcasts — Creators may send promotional and informational emails to their client lists via the Platform’s integrated email service (powered by Resend).

Web, Mobile, and Notification Tools — The Platform may be available through the web, native mobile wrappers, a progressive web application, push notifications, home-screen installation, and local service-worker caching on your device.

5.Payments, Fees, and Refunds

a

All payments are processed through Stripe, Inc. By making or receiving payments through the Platform, you agree to Stripe’s applicable terms, including Stripe Checkout, Stripe Payments, and Stripe Connect terms. Arena Sports does not store full card numbers.

Current fee structure for paid checkouts:

Creators and organizations receive payouts via Stripe Connect. Stripe Connect onboarding, identity verification (including SSN, date of birth, government-issued identification, and bank account details), and bank account verification are required before payouts are enabled.

Guest checkout is available for unregistered users. A user account is automatically created upon successful guest checkout payment, with the provided email pre-verified.

Refunds are governed by our Cancellation & Refund Policy (arenasports.space/cancellation), which is incorporated into these Terms by reference.

All prices are in US dollars unless otherwise specified. You are responsible for any applicable taxes on your transactions.

Monthly subscription billing for training programs is processed automatically on a recurring basis until cancelled, paused where available, failed, expired, or otherwise terminated. Unless otherwise stated at checkout or required by law, cancellation takes effect at the end of the current billing period and partial-month refunds are not provided.

Arena Sports reserves the right to modify its fee structure with 30 days’ advance written notice to affected users.

6.User Content and Conduct

You agree not to:

Content moderation. Arena Sports reserves the right to remove any user-generated content that violates these Terms, applicable law, or our community standards. We may, but are not obligated to, monitor user content. Reports of objectionable content may be submitted to [email protected].

User-generated content license. By submitting content to the Platform (including profile information, reviews, messages, media uploads, and course content), you grant Arena Sports a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, and distribute such content solely in connection with the operation and promotion of the Platform. This license continues after account termination for content that has been distributed to other users (e.g., reviews, course materials purchased by members).

7.Creator-Specific Terms

a

Creators operate as independent contractors and are not employees, agents, partners, franchisees, joint venturers, or representatives of Arena Sports Network. Arena Sports does not control the manner, method, staffing, facilities, equipment, transportation, or day-to-day supervision by which creators conduct their programs.

b

Creators are solely responsible for the safety, quality, legality, staffing, supervision, facilities, equipment, participant communications, and conduct of programs offered through the Platform, including compliance with all applicable laws and regulations governing youth sports, child supervision, abuse prevention, concussion protocols, facility safety, mandatory reporting, licensing, permits, and coaching certifications.

Creators must maintain accurate and current profile information, including certifications, insurance coverage, and background check status. Misrepresentation of qualifications is grounds for immediate account termination.

d

Creators are responsible for collecting and maintaining all legally required participant waivers, consent forms, and medical disclosures for their programs. The Platform provides waiver management tools, but Arena Sports does not guarantee the legal sufficiency of any waiver template.

e

Creators are responsible for compliance with all tax obligations arising from income earned through the Platform, including income, sales, use, withholding, payroll, self-employment, and information-reporting obligations. Arena Sports may report payments where required by law.

Arena Sports reserves the right to deactivate any creator account that receives repeated safety complaints, fails to maintain required verifications, or violates these Terms.

Creators may import contacts from external sources for use with the Platform’s messaging and broadcast features. Creators represent and warrant that they have obtained all necessary consents to contact such individuals and will comply with all applicable anti-spam and data protection laws (including CAN-SPAM and TCPA).

8.Organization-Specific Terms

a

Organizations that register on the Platform assume responsibility for the conduct and compliance of all creators operating under their brand.

b

Organization administrators are responsible for managing role-based access permissions and ensuring that only authorized individuals have access to sensitive data (including financial data, member information, and analytics).

c

Organizations using shared Stripe Connect accounts are jointly responsible for the accuracy of financial information and compliance with tax reporting obligations.

d

Arena Sports is not responsible for disputes between organizations and their affiliated creators, including disputes over revenue sharing, employment status, or intellectual property.

9.Data Collection and Privacy

The Platform collects and processes the following categories of personal information:

Our collection, use, and disclosure of personal information is governed by our Privacy Policy (arenasports.space/privacy), which is incorporated into these Terms by reference. Privacy rights may vary by jurisdiction and may be subject to verification, security, fraud-prevention, legal-retention, and accounting requirements.

Analytics and tracking. The Platform uses PostHog for product analytics and masked session recording, Sentry for error monitoring and performance tracking, and Google Analytics for aggregate usage metrics. You may opt out of analytics tracking where technically feasible.

Data retention. We retain your personal information for as long as your account is active or as needed to provide you services. Upon account termination, we will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

10.Children and Minors (COPPA Compliance)

a

The Platform is not directed at children under 13 years of age. We do not knowingly collect personal information directly from children under 13.

b

Parents and legal guardians may create Dependent Profiles for their minor children. By creating a Dependent Profile, you represent that you are the parent or legal guardian of the minor and consent to the collection and processing of the minor’s personal information as described in these Terms and our Privacy Policy.

Personal information collected in Dependent Profiles includes: name, date of birth, gender, sports, positions, height, weight, school, grade, medical information (allergies, medications, conditions), emergency contacts, and profile photos.

d

Parents may review, modify, or delete their child’s Dependent Profile at any time through their account settings. To request deletion of a minor’s data, contact [email protected].

e

Creators are responsible for ensuring that their programs comply with all applicable laws governing activities involving minors, including supervision requirements, background check laws, and mandatory reporting obligations.

11.Medical Information Disclaimer

a

The Platform allows users to store medical information (allergies, medications, medical conditions, and medical notes) in participant profiles for the purpose of sharing relevant health information with creators during program participation.

b

Arena Sports is not a healthcare provider. The Platform does not provide medical advice, diagnosis, or treatment. Medical information stored on the Platform is provided solely by users and is not verified, validated, or reviewed by Arena Sports or any medical professional.

c

Users are solely responsible for the accuracy and completeness of medical information they provide. Creators are solely responsible for reviewing and appropriately acting on medical information shared with them.

d

Arena Sports is not liable for any injury, illness, or adverse event arising from inaccurate, incomplete, or outdated medical information stored on the Platform, or from any creator’s failure to review or act on such information.

e

The storage of medical information on the Platform does not create a HIPAA-covered relationship. Arena Sports is not a HIPAA-covered entity or business associate.

12.Insurance Information

a

The Platform allows creators to upload and display insurance information, including provider name, policy number, coverage type, coverage amount, and expiration date.

b

Arena Sports does not verify, validate, endorse, or guarantee the accuracy, currency, or adequacy of any insurance information displayed on the Platform. The display of insurance information does not constitute a representation by Arena Sports that any creator is adequately insured.

c

Members are solely responsible for independently verifying any creator’s insurance coverage before participating in their programs.

d

Arena Sports does not provide insurance coverage of any kind. Arena Sports is not an insurance broker, agent, or provider.

13.Intellectual Property

a

All content, features, functionality, software, and trademarks of the Platform are owned by Arena Sports Network and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

b

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Platform content without our express written permission, except as necessary for normal use of the Platform.

c

Creators retain ownership of course content, training materials, drills, and other original works they create and upload to the Platform. Arena Sports’ license to such content terminates upon account closure, except for content already distributed to purchasers or participants.

d

If you believe that content on the Platform infringes your intellectual property rights, you may submit a DMCA takedown notice to [email protected] with: (i) identification of the copyrighted work, (ii) identification of the infringing material, (iii) your contact information, (iv) a statement of good faith belief, and (v) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

14.Third-Party Services

The Platform integrates with the following third-party services. Your use of these services is subject to their respective terms:

Arena Sports is not responsible for the availability, accuracy, security, or practices of any third-party service. Your interactions with third-party services are solely between you and the third party.

15.AI and Automated Tools

a

The Platform may include AI-assisted features for support, administrative workflows, content drafting, outreach, analytics, recommendations, summaries, or user guidance. AI outputs may be incomplete, inaccurate, offensive, outdated, or unsuitable for your circumstances.

b

AI features do not provide legal, tax, medical, financial, safety, coaching, or professional advice. You are responsible for independently reviewing and verifying AI outputs before relying on them or sending them to others.

c

You may not use AI features to generate unlawful, discriminatory, harassing, infringing, deceptive, unsafe, or child-exploitative content. Arena Sports may monitor, rate-limit, block, or remove AI-generated content and related accounts.

16.Warranty Disclaimer

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, express, implied, statutory, or otherwise. To the maximum extent permitted by law, Arena Sports disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, and course of dealing.

Arena Sports does not warrant that the Platform will be uninterrupted, error-free, secure, virus-free, timely, accurate, or compatible with your device, browser, network, or third-party services. Arena Sports does not warrant any creator, organization, program, facility, course, message, review, result, athletic outcome, health outcome, safety outcome, or user-generated content.

17.Assumption of Risk

a

Participation in athletic activities, camps, training sessions, lessons, and sports programs involves inherent risks, including but not limited to physical injury, sprains, fractures, concussions, traumatic brain injuries, heat-related illness, cardiac events, communicable disease exposure, permanent disability, and death.

b

By using the Platform to register for or participate in athletic activities, you acknowledge these risks and voluntarily assume all responsibility for any injury, illness, disability, or death that may result from participation.

c

Arena Sports does not operate, supervise, inspect, or control any athletic programs, facilities, equipment, or venues. Arena Sports does not guarantee the safety, quality, suitability, or legality of any program, creator, facility, or activity offered through the Platform.

d

Parents and guardians are solely responsible for evaluating the suitability of programs for their children, ensuring their children are physically fit to participate, providing accurate medical information, and disclosing all relevant health conditions.

e

Arena Sports makes no representations or warranties regarding the qualifications, certifications, background check status, insurance coverage, or competence of any creator or organization on the Platform.

f

THE RISKS DESCRIBED IN THIS SECTION INCLUDE, BUT ARE NOT LIMITED TO: sprains, strains, fractures, dislocations, bruises, lacerations, concussions, traumatic brain injuries, spinal cord injuries including paralysis, heat-related illness (heat exhaustion, heat stroke, dehydration), cardiac events, overexertion, rhabdomyolysis, ligament tears, dental injuries, eye injuries, internal organ injuries, communicable disease exposure, allergic reactions, insect bites and stings, permanent disability, and death.

Environmental and situational risks include: uneven, wet, or hazardous playing surfaces; collisions with other participants, equipment, or fixed objects; inadequate or malfunctioning sports equipment; extreme temperatures; lightning, severe weather, and natural disasters; and transportation to and from activity locations.

18.Release and Waiver of Liability

By creating an account and using the Platform to register for or participate in activities, you hereby release, waive, discharge, and covenant not to sue the following parties (collectively, the “Released Parties”):

This release applies to any and all claims, demands, actions, causes of action, judgments, and executions for any injury, illness, disability, death, or property damage arising out of or in connection with participation in activities, whether caused by the negligence of the Released Parties or otherwise.

a

This release does NOT apply to claims that cannot be released as a matter of applicable law, which may include claims arising from willful misconduct or intentional torts.

b

You agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from and against any and all claims, lawsuits, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) brought by you, any participant, or any third party, arising out of or in connection with participation in activities.

You represent and warrant that: (i) the participant is physically fit to engage in the registered activities; (ii) all medical conditions, allergies, medications, prior injuries, and health concerns have been accurately and completely disclosed in the participant’s profile; (iii) you will promptly update medical information if any changes occur; and (iv) you will immediately notify the creator and Arena Sports of any injury, illness, or health concern that arises during participation.

d

You acknowledge that creators and staff are not medical professionals and rely on the accuracy of the medical information you provide to ensure the participant’s safety.

e

This waiver is binding upon you, your spouse, the participant, and your respective heirs, executors, administrators, personal representatives, and assigns.

f

This waiver remains in effect for all activities in which participants registered through your account participate through the Arena Sports Platform until you revoke it in writing through your account settings.

19.Emergency Medical Authorization

By creating an account and registering participants for activities, you authorize the following actions in the event of a medical emergency, if you or another listed emergency contact cannot be reached within a reasonable time:

This authorization is NOT a substitute for immediate parental notification. Creators and staff will make every reasonable effort to contact you and your listed emergency contacts before and during any emergency medical situation.

b

You agree to be financially responsible for all medical expenses incurred as a result of emergency treatment authorized under this section.

c

You certify that all medical information provided in participant profiles is accurate, complete, and current, including: known allergies and their severity; current medications with dosage, frequency, and purpose; chronic conditions; prior injuries or surgeries relevant to athletic participation; and emergency contacts.

d

You agree to update medical information promptly through your account if any changes occur. Failure to provide accurate or updated medical information may compromise the safety of the participant.

e

Arena Sports does not provide medical, health, or accident insurance coverage for participants. You confirm that the participant is covered by adequate health insurance, or you accept full financial responsibility for all medical expenses.

f

Medical information will be shared only with: (i) creators and staff directly supervising the participant during registered activities, on a need-to-know basis; (ii) emergency medical personnel responding to a medical incident; and (iii) as required by applicable law, including mandatory reporting obligations in the state where a reportable concern arises.

g

You may revoke this medical authorization at any time by updating consent settings in your account or contacting [email protected]. Revocation may prevent participation in activities where medical consent is a registration requirement.

20.Photo and Video Release

By using the Platform, you grant Arena Sports Network, its creators, staff, and affiliated organizations permission to capture, record, and use photographs, video recordings, audio recordings, and any other visual or audio media (“Media”) of participants during activities, subject to the following terms:

Authorized Uses. Media may be used for: safety and security monitoring; attendance verification; incident documentation; technique review and skills development feedback; creator profiles and program listings; social media posts on Arena Sports’ official accounts; email newsletters; and event recaps and highlight reels shared with program participants.

b

Restrictions. Media will NOT be: sold to unaffiliated third parties; used in any defamatory, pornographic, or harmful manner; used to create deepfake or AI-manipulated imagery; or used to imply endorsement of any product, service, or political position without separate written consent.

c

Minor Protections. For participants under 13, Arena Sports will not use individually identifiable photographs in public-facing marketing materials without separate, specific parental consent. Group photos where the child is not the primary focus may be used for general program promotion. A participant’s full name will not be publicly associated with Media without additional written consent.

d

Opt-Out. You may opt out of photo/video use for marketing and promotional purposes at any time through participant profile settings (Photo/Video Preferences). Opting out does not prevent incidental capture in wide-angle group photos or video taken for safety/security purposes during activities.

e

Revocation. You may revoke this release entirely by changing the participant’s Photo/Video consent to “NOT ALLOWED” in their profile. Revocation is effective going forward and does not require removal of Media already lawfully published. Arena Sports will make reasonable efforts to remove identifiable Media from active marketing materials within 30 days of revocation.

No compensation, royalties, or payment of any kind will be provided for the capture or use of Media under this release.

21.Concussion and Youth Sports Laws

You acknowledge that concussion, heat illness, cardiac events, communicable disease, and other youth-sports safety laws vary by state. Creators, organizations, parents, guardians, and participants are responsible for following the laws and protocols that apply to the activity location, including any required removal-from-play, return-to-play, medical-clearance, parental-notice, abuse-prevention, and mandatory-reporting rules.

a

What is a Concussion. A concussion is a type of traumatic brain injury (TBI) caused by a bump, blow, or jolt to the head. All concussions are serious. A concussion can occur without loss of consciousness. Repeated concussions can cause cumulative damage, including chronic traumatic encephalopathy (CTE).

b

Signs and Symptoms. Signs include: appearing dazed, stunned, or confused; moving clumsily; answering questions slowly; loss of consciousness; mood or personality changes. Symptoms include: headache, nausea, balance problems, blurred vision, sensitivity to light/noise, feeling sluggish or foggy, concentration or memory problems, fatigue, sleep disturbances, and emotional changes. Symptoms may appear immediately or may not be noticed for hours or days.

Removal from Play. Any youth athlete who is suspected of sustaining a concussion must be removed from play and may not return until permitted under applicable law and program rules.

d

Return-to-Play. An athlete removed for a suspected concussion should not return until evaluated and cleared by an appropriate licensed health care provider and any required return-to-play protocol has been completed.

e

Your Responsibilities. You agree to: inform creators of any history of prior concussions before participation; ensure prior concussions are fully resolved with written medical clearance before registering; report any suspected concussion symptoms immediately; seek prompt medical evaluation; follow all return-to-play protocols; and provide updated concussion history through participant profiles.

Danger Signs — Call 911. Seek emergency medical care immediately if you observe: one pupil larger than the other; extreme drowsiness; worsening headache; slurred speech or weakness; repeated vomiting; seizures; unusual behavior or increased confusion; or loss of consciousness.

22.Electronic Signatures

a

By creating an account, registering participants, or accepting these Terms electronically through the Arena Sports Platform, you agree that your electronic acceptance (including clicking “I agree,” creating an account, or completing a registration) carries the same legal force and effect as a handwritten signature, in accordance with the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §7001 et seq.) and applicable state electronic-transactions laws.

Electronic consent records, including timestamps, IP addresses, and user agent data, are maintained for legal verification and audit purposes.

c

The waivers, releases, authorizations, and consents contained in these Terms, including Assumption of Risk, Release and Waiver of Liability, Emergency Medical Authorization, Photo and Video Release, and Concussion Awareness provisions, are accepted by you upon account creation, checkout, registration, booking, or continued use as applicable.

23.Limitation of Liability

To the maximum extent permitted by applicable law, Arena Sports Network, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for:

In no event shall Arena Sports Network’s total aggregate liability for all claims arising out of or relating to these Terms or the Platform exceed the greater of (i) the amounts you have paid to Arena Sports in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

24.Indemnification

You agree to indemnify, defend, and hold harmless Arena Sports Network, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in connection with:

25.Dispute Resolution and Arbitration

a

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles, except to the extent non-waivable laws of another state or jurisdiction apply to your transaction, activity, privacy rights, consumer rights, or participant-safety rights.

b

Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except where applicable law requires otherwise. The arbitration shall be conducted in Salt Lake County, Utah, remotely, or at another mutually agreed location. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action and Jury Waiver. YOU AGREE THAT DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AND ANY RIGHT TO A JURY TRIAL.

Exceptions. Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

Statute of Limitations. Any claim arising out of or relating to these Terms or the Platform must be filed within one (1) year after the cause of action accrues, or the claim is permanently barred, unless a shorter or longer period is required by applicable law.

Informal Resolution. Before initiating arbitration, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

26.Termination

a

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice, effective immediately.

b

You may terminate your account at any time through your account settings or by contacting us at [email protected].

c

Upon termination: your right to use the Platform will immediately cease; any pending payouts will be processed according to Stripe’s standard payout schedule; content you have sold or distributed to other users (e.g., courses, reviews) may remain accessible to those users.

All provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and data retention obligations.

Termination does not relieve you of any obligation to pay fees incurred prior to termination or any liability arising from your use of the Platform prior to termination.

27.Referral and Ambassador Program

a

Overview. The Referral and Ambassador Program (“Program”) is an optional program that lets eligible users (“Ambassadors”) earn a commission when creators they refer generate revenue on the Platform. Participation is voluntary, requires no fee, and is subject to these Terms and any additional Program rules Arena Sports publishes.

b

Attribution. A user is attributed to an Ambassador when they create a new Arena Sports account through that Ambassador’s unique referral link or code, including links shared directly or carried through event, course, lesson, or invoice pages. Attribution is first-touch and permanent: each user may be attributed to at most one Ambassador, attribution is recorded at the time of signup, and it does not transfer or change afterward. Only brand-new accounts qualify; a referral link has no effect for users who already have an account.

Single-Level Program (Not Multi-Level Marketing). The Program is strictly single-level. An Ambassador earns only from the actual qualifying revenue generated by the creators they directly refer. There are no multi-level, downline, recruitment, or matrix earnings; Ambassadors are not paid for recruiting other Ambassadors, and no earnings are derived from referrals made by the people they refer. There is no cost to join and no purchase is required to participate.

Earnings. Subject to the reversal and eligibility rules below, an Ambassador earns one percent (1%) of the net subtotal of each qualifying transaction completed by a referred creator, including event and camp registrations, training programs and their recurring subscription renewals, private lessons, digital courses, sponsorships, and invoice or payment-link sales. The 1% is calculated on the creator’s subtotal before taxes, tips, and Platform or processing fees. A creator’s own purchases and any self-referral do not qualify.

Reversals and Clawbacks. Referral earnings are contingent on the underlying sale being completed and retained. If a qualifying transaction is refunded (in whole or in part), charged back, disputed, or otherwise reversed, the associated referral earning is reversed proportionally. Reversals may reduce an Ambassador’s available or pending balance and may offset against future earnings. If a dispute is later resolved in the creator’s favor, a corresponding reversal may be restored.

Payment. Referral earnings are credited to the Ambassador’s Arena wallet and become available to cash out only when the underlying sale clears, on the same schedule as the referred creator’s own payout. Cashing out requires a verified Stripe Connect payout account and is subject to Stripe’s terms, minimum payout thresholds, identity verification, and the Platform’s standard payout, hold, and risk controls. Referral earnings form part of the Ambassador’s unified wallet balance and have no cash value except as paid out under the Program.

Taxes. Ambassadors are solely responsible for any taxes on referral earnings. Arena Sports may require a completed Form W-9 (or other applicable tax documentation) before enabling or continuing payouts, may withhold payouts pending such documentation, and may issue a Form 1099 or other information return where required by law (generally once annual earnings meet or exceed the applicable reporting threshold).

Promotion and Disclosure. When promoting their referral link, Ambassadors must comply with all applicable laws and the U.S. Federal Trade Commission’s endorsement and testimonial guidelines, including clearly and conspicuously disclosing their material connection to Arena Sports (i.e., that they earn a commission). Ambassadors must not make false, misleading, or unauthorized claims about Arena Sports, must not misuse Arena Sports’ trademarks, and must not send unsolicited bulk communications or otherwise violate anti-spam laws (including CAN-SPAM and the TCPA).

Prohibited Conduct. The following are prohibited and may result in reversal or forfeiture of earnings and removal from the Program: referring yourself or accounts you control; creating fake, duplicate, or artificially inactive accounts; fraud, deception, cookie-stuffing, or manipulation of attribution; bidding on or registering search ads or domains that misuse Arena Sports’ trademarks; and any attempt to generate earnings other than through genuine, good-faith referrals of real creators.

Modification and Termination. Arena Sports may modify the commission rate, eligibility, payout timing, or any other Program term, and may suspend or discontinue the Program, at any time, with notice where required by law. Arena Sports may, in its discretion, sever a referral relationship — stopping future earnings and reversing outstanding unpaid earnings — and may withhold, reverse, or forfeit earnings obtained through fraud, abuse, or violation of these Terms.

Relationship. Participation in the Program does not create any employment, agency, partnership, joint venture, or franchise relationship between the Ambassador and Arena Sports. Ambassadors act as independent participants and may not represent themselves as agents of, or as authorized to bind, Arena Sports.

28.Miscellaneous

a

Entire Agreement. These Terms, together with the Privacy Policy (arenasports.space/privacy), Cancellation & Refund Policy (arenasports.space/cancellation), and any activity-specific waiver or checkout terms accepted by you, constitute the entire agreement between you and Arena Sports Network regarding the Platform. The waivers, releases, and consents in these Terms are integral parts of the agreement and are accepted upon account creation, checkout, registration, booking, or continued use as applicable.

b

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

c

Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

d

Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.

e

Force Majeure. Arena Sports shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, pandemics, epidemics, government actions, civil unrest, terrorism, power failures, internet disruptions, or infrastructure failures.

Notices. We may provide notices to you via email to the address associated with your account, in-app notifications, or posting on the Platform. You are responsible for keeping your contact information current.

g

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

h

Export Control. You agree to comply with all applicable export and import control laws and regulations. You may not use the Platform in any country subject to U.S. trade sanctions.
